Think about it...
 
Whether a trust is created at death via the will or a trust being created today, changing the word...shall, to may, changes the context of the entire trust.
 
Shall — used to say that something is expected to happen in the future.
May — used to indicate possibility or probability.
 
In other words, if you, the client and the attorney have worked hard to remove assets from the client's taxable estate, wouldn't it be a shame to force the income back into the taxable and unprotected estate?
 
Wouldn't it be better for the trustee to have some discretion as to whether or not to send income to the beneficiary?
 
For example a life insurance trust or a credit shelter trust that has the flexibiity of may versus shall could benefit the family a great deal over time.
 
What's the annual income on a $1,000,000 generated from a life insurance policy death benefit? Let's say $30,000 to $50,000.
 
If we also assume...the husband predeceases his spouse by 12 years. She doesn't need any additional income other than what was in her taxable estate. Then the $30-50K that was being generated from the ILIT and sent to her because the income "shall be paid at least quarterly" would now be back in her unprotected and taxable estate.  That's $360,000 to $600,000 without taking any growth into account.
 
Obviously, we aren't attorneys and can not practice law (you should always confer with the attorney first) but this one little word can have an impact on planning.  We believe that it is our job to know these things and to look out for them.  More importantly, if you know to look for these things they are great discussion points with both clients and attorneys.
